Our corporate-commercial practice provides expert advice to Indian and overseas companies on doing business in India. We advise for cross-border transaction, foreign investment routing, India entry strategy, external commercial borrowings and corporate compliances. We provide legal advice on commercial contracts.
Our corporate governance practice advises senior management of companies of all sizes on corporate governance and corporate social responsibility procedures, conduct of annual general meetings, investor protection committee guidelines, disclosure and transparency rules. We also conduct customised sessions for foreign and resident directors on rights and responsibilities of directors and secretarial compliances pursuant to the Companies Act and LLP Act.
American Bureau of Shipping, USA – S&P advises the Indian subsidiaries, branch of American Bureau of Shipping, USA in connection with their employment matters on a regular basis. Singhania & Partners have recently advised on matters in connection with disciplinary actions required to be taken against two of their employees; one being appointed at a supervisory and managerial position , accused of discriminating employees at the workplace, etc. ,the other, in workman category, after recording aggressive behavior with co-employees. We also reviewed company policies such as Employee Benefit Policy of one of its subsidiary Indian company.
AVO Carbon – Avocarbon cumulates 80 years of excellence by bringing together the strength and knowledge of such former industry leaders as Carbone Lorraine, Stackpole Carbon, AVO, Kirkwood Carbon, and ECS, it concentrates a unique know-how and experience in carbon brushes and assemblies. We advised and assisted the client on issues related to Foreign Exchange Management Act like overseas direct investment, writing off of payments due to exports and imports, loan to an overseas group company, providing guarantee by an Indian company to an overseas subsidiary etc.
Highmark Group – Advised and assisted Highmark Group on setting up an 800-1000 seat business process outsourcing unit in India. Advised and assisted the client on their master service agreement with one of India’s largest IT Company for technical assistance in setting up of technical operations of the processing center. Assisted the client in setting up of business operations including leasing of premises, preparation of service contract templates, procurement contracts, preparation of company policies, negotiations with vendors and service providers etc.
IDBI Bank Ltd. – IDBI Bank Ltd., is a full service universal bank, provides a wide gamut of financial products and services encompassing deposits, loans, payment services and investment solutions. They offer an innovative range of digital services that complement our pan-India network of branches and ATMs. We conducted due diligence of about 2300 acres of land owned by Jaypee Infratech Ltd. (JIL) and to assess whether IDBI can create mortgage over the said land parcels as part of the corporate insolvency resolution process initiated by IDBI against JIL under Section 7 of the Insolvency and Bankruptcy Code, 2016.
McGraw Hills Companies – McGraw-Hill Education (MHE) is a learning science company and one of the “big three” educational publishers that provides customized educational content, software, and services for pre-K through postgraduate education. It currently operates in 28 countries and offers products and services to over 135 countries in 60 plus languages. We advised and assisted the client for a review of issues relating to grant of phantom stock option units and extension of the employee stock option scheme to employees of their Indian subsidiaries.
National Instruments Inc. (NI) – NI accelerates productivity, innovation, and discovery through an open, software-defined platform. Their offices are located in more than 50 countries. We advise NI on various queries related to employment law received from time to time during the year on employment at their Indian subsidiary. We also assist them in drafting of employment related contracts including termination, Full and final settlement & Release Agreement in the event of termination for cause or simplicitor providing clauses ensuring obligation of the terminated employee to maintain confidentiality and non-competition post termination.
Sig Sauer – Advised and assisted the client for a complaint filed by RoC against the company and its directors for non-compliance of disclosures under the Companies Act before the Company Court and Official Liquidator in winding up proceedings. Also advising Sig Sauer Inc. on other ongoing litigations against Sig Sauer India.
Standard & Poor’s – We advised the company on the issue of secondment of employees to its Joint Venture Company in India and for the review of the secondment documents. We also provided legal opinion and drafted Legal Notice with respect to termination of an employee and negotiated the settlement package.
We also advised and assisted the subsidiaries in India on their day to day labor & employment related issues like change in terms and conditions of employment letter/agreements, change in company policies. Advised and assisted the client in implementation of their global restructuring which included the transfer of businesses, transfer of employees, retrenchment of employees etc. Advising and representing the client before courts and tribunals on labor related disputes.
USA defense major – Represented the client in a complaint filed by Registrar of Companies against the company and its directors for noncompliance of disclosures under the Companies Act.
